NON-DISCLOSURE AGREEMENT

This Non-Disclosure Agreement ("Agreement") is entered into between:
Disclosing Party:
Workshop Attending Organization
("Company")
Receiving Party:
Forceworks, LLC, dba Digital Labor Factory
("Digital Labor Factory")
1. PURPOSE
The Company is engaging Digital Labor Factory to provide corporate workshops, training sessions, and consulting services related to AI implementation, digital transformation, and workforce optimization ("Services"). During the provision of these Services, the Company may disclose confidential and proprietary information to Digital Labor Factory.
2. DEFINITION OF CONFIDENTIAL INFORMATION
"Confidential Information" includes, but is not limited to:
- Business strategies, plans, and methodologies
- Financial information, budgets, and projections
- Technical data, processes, and procedures
- Customer lists, supplier information, and business relationships
- Organizational structures and personnel information
- Current and planned technology implementations
- Security protocols and compliance frameworks
- Any information marked as "Confidential" or that would reasonably be considered confidential
- Information disclosed orally, visually, or through observation during workshops
3. OBLIGATIONS OF DIGITAL LABOR FACTORY
Digital Labor Factory agrees to:
- Maintain Confidentiality: Hold all Confidential Information in strict confidence
- Limited Use: Use Confidential Information solely for providing the agreed Services
- No Disclosure: Not disclose Confidential Information to any third parties without prior written consent
- Team Compliance: Ensure all team members, contractors, and affiliates comply with this Agreement
- Secure Handling: Implement reasonable security measures to protect Confidential Information
- Return of Information: Return or destroy all Confidential Information upon request or completion of Services
4. EXCEPTIONS
This Agreement does not apply to information that:
- Is publicly available through no breach of this Agreement
- Was known to Digital Labor Factory prior to disclosure
- Is independently developed without use of Confidential Information
- Is required to be disclosed by law or court order (with prior notice to Company)
5. TERM AND TERMINATION
This Agreement remains in effect for a period of two (2) years from the workshop date, or until all Confidential Information becomes publicly available through no fault of Digital Labor Factory, whichever occurs first. The obligations of confidentiality shall survive termination of this Agreement.
6. REMEDIES
The Company acknowledges that any breach of this Agreement may cause irreparable harm for which monetary damages would be inadequate. Therefore, the Company shall be entitled to seek injunctive relief and other equitable remedies in addition to any other available legal remedies.
7. WORKSHOP-SPECIFIC PROVISIONS
- Recording Policy: No audio, video, or photographic recording without explicit written consent
- Documentation: All workshop materials and notes containing Confidential Information remain Company property
- Case Studies: Digital Labor Factory will not use Company information in future case studies without written permission
- Reference Restrictions: Company name and details will not be used in marketing materials without consent
8. GENERAL PROVISIONS
- Governing Law: This Agreement shall be governed by the laws of the State of Florida
- Entire Agreement: This Agreement constitutes the entire agreement regarding confidentiality
- Amendment: Any modifications must be in writing and signed by both parties
- Severability: If any provision is deemed invalid, the remainder shall remain in effect
